Enveme Terms of Service The following Terms of Service (TOS) states all the terms and conditions that outline and govern all those who use www.Enveme.com (the Site). If you purchase any product or service on the Site, this will act as your agreement and acceptance of the TOS. Since technology is always evolving we have to state that Enveme.com and any of our partners, licensees and assignees (referred to in this Agreement as "us" and "we") reserves the right to add to, delete or change the TOS. Because of this we recommend that you check back from time to time to see if there are any changes. 1. The Enveme service. We provide a number of Internet-based services and products through the Site (all such services, collectively, the "Enveme services" and "Products"). Enveme users may create and purchase individual Products for their own use at a discounted rate to sell Products through the Site. For any artist or band that is selected and agrees to join our site to sell their music we have an addition agreement called a "Digital Rights Agreement" (DRA) that you must agree to as well to protect yourselves as well as for our protection. The DRA is located at the bottom of this document. Enveme allows all Users to browse the Site and purchase Products from the Site. Enveme may offer a number of other services and products on its Site, such as message boards, contests, and newsletters, which may change from time to time. 2. Use of the Site and Enveme Service. 1. Eligibility. For legal reasons we can only enter into a contract with those who are of legal age -- 18 years or older. If you are between the ages of 13 and 17, you must have a parent or legal guardian agree to our terms on your behalf. If you are under the age of 13, or do not have a parent or legal guardian to agree to our terms for you, we will not be able to conduct any business with you. 2. Compliance with TOS and Applicable Law. You must comply with all of the terms and conditions of these TOS, the applicable agreements and policies referred to below, and all applicable laws, regulations and rules when you use the Enveme service and the Site. (c) Your License to Use the Site and the Enveme Service. (1) Enveme and its licensors solely and exclusively own all intellectual property and other rights, title and interest in and to the Enveme service and Site, except as expressly provided for in these TOS. You will not acquire any right, title or interest therein under these TOS or otherwise. This does not mean we own your music. It means we own what we created on our site. You will not lose ownership of your songs and or artwork. (2) Enveme grants you a limited revocable license to access and use the Site and the Enveme service for its intended purposes, subject to your compliance with this TOS. This license does not include the right to collect or use information contained on the Site for purposes prohibited by Enveme; create derivative works based on the Products or any third party content available via the Site; or download or copy the Site (other than page caching). If you use the Site in a manner that exceeds the scope of this license or breach this TOS, Enveme may revoke the license granted to you. (3) This Section 2(c) does not pertain to your intellectual property rights. Any rights relating to materials that you upload to the Site are covered by the Digital Rights Agreement. 3. Rules for Use of the Site. (a) Prohibited Use. By agreeing to our terms, you agree not to: (I) upload any viruses, or any other program or technology intended to disrupt or damage any software or hardware. (ii) You also agree not to modify, reverse engineer, decompile or disassemble any technology we used to provide our service. Additionally you agree not to create any derivative works from the Site used in providing our service. (iii) Use of "spiders", "robots", or any other device, program or process to monitor activity, or copy pages from the Site is prohibited as well. The exception to this in the use and operation of an internet search engine, hit counters or similar technology. (iv)You also agree not to use Enveme.com to collect and store email addresses, or any other personal information from a third party by using the Enveme service; (v) You agree not to impersonate in any way another person's entity; (vi) You will not use any meta tags, search terms, key terms or anything similar that contains Enveme's name and or trademarks (vii) You agree to not perform any activity that will interfere with another user's ability to use or enjoy our Service. (ix) Lastly you agree not to support anyone who wishes to engage in any activity that will breach the TOS (b) Monitoring. Enveme reserves the right, but does not assume the obligation, to monitor transactions and communications that occur through the Site. If Enveme determines, in its sole and absolute discretion, that you or another Enveme user will breach a term or condition of these TOS or that such transaction or communication is inappropriate, Enveme may cancel such transaction or take any other action to restrict access to or the availability of any material that may be considered objectionable, without any liability to you or any third party. (c) Modification of the Service. Enveme may modify the Enveme service at any time with or without notice to you, and will incur no liability for doing so. 4. Submissions. When you submit questions, comments, suggestions, ideas, message board postings, material submitted via web forms, contest entries, communications or any other information ("Submissions"); you grant Enveme permission to use such submissions for marketing and other promotional purposes. You agree that Enveme will have no obligation to keep any Submissions confidential and you will not bring a claim against Enveme based on "moral rights" or the like arising from Enveme's use of a submission. 5. Representations and Warranties. (a) Mutual Representations and Warranties. You represent and warrant to Enveme and Enveme represents and warrants to you: (i) that you or it has the full power and authority to enter into and perform under these TOS, (ii) the execution and performance of your or its obligations under these TOS do not constitute a breach of or conflict with any other agreement or arrangement by which you or it is bound, and (iii) these TOS are a legal, valid and binding obligation of the party entering into these TOS, enforceable in accordance with their terms and conditions. (b) By You. You agree to and warrant to Enveme that, in your use of the Enveme service, you: (i) will not infringe the copyright, trademark, patent, trade secret, right of privacy, right of publicity or other legal right of any third party and (ii) will comply with all applicable laws, rules, and regulations. You further represent and warrant to Enveme that: 1. there are no claims, demands or any form of litigation pending or, to the best of your knowledge, threatened with respect to any of your Submissions; 2. Enveme will not be required to make any payments to any third party in connection with its use of your Submissions, except for the expenses that Enveme incurs in providing the Enveme service; 3. the use of any instructions, formulae, recommendations, or the like contained in your Submissions will not cause injury to any third party; 4. your Submissions do not contain viruses or any other programs or technology designed to disrupt or damage any software or hardware. 6. Disclaimers, Exclusions, and Limitations. (a) DISCLAIMER OF WARRANTIES. Enveme provides the site and Enveme service on an "as is" and "as available" basis. Enveme does not represent or warrant that the site, Enveme service or its use: (i) will be uninterrupted, (ii) will be free of inaccuracies or errors, (iii) will meet your requirements, or (iv) will operate in the configuration or with the hardware or software you use. Enveme makes no warranties other than those made expressly in this TOS and hereby disclaims any and all implied warranties, including without limitation, warranties of fitness for a particular purpose, merchantability and non-infringement. (b) EXCLUSION OF DAMAGES. Enveme will not be liable to you or any third party for any consequential, incidental, indirect, punitive or special damages (including damages relating to lost profits, lost data or loss of goodwill) arising out of, relating to or connected with the use of the Enveme service, based on any cause of action, even if advised of the possibility of such damages. (c) LINKS TO OTHER WEB SITES. The Enveme site contains links to other web sites. We are not responsible for the content, accuracy or opinions expressed in such web sites, and such web sites are not investigated, monitored or checked for accuracy or completeness by us. Inclusion of any linked web site on or through the Web Site or the Services does not imply approval or endorsement of the linked web site by us. If you decide to leave the Web Site and access these third-party sites, you do so at your own risk. (c) LIMITATION OF LIABILITY. In no event will the company be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including damages for any lost profits or lost data arising from your use of the web site or the service, even if the company is aware or has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, the company's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the lesser of: (a) the amount paid, if any, by you to the company for the services; and (b) ten dollars ($10). Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions or limitations may not apply to you, and you may have additional rights. 7. INDEMNITY. You agree to indemnify and hold Enveme and its directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, or demand, including reasonable attorneys' fees, arising out of any claim, action, investigation or proceeding made or instituted by any third party due to or arising out of: (i) your breach of any representations or warranties made by you hereunder or your breach of any term of this Agreement; (ii) your use of the Enveme service or the Web Site in violation of this Agreement; or (iii) or your violation of any law or the rights of a third party. You hereby agree not to sue, assist in or be a voluntary party to assist in or be a voluntary party to, except as required by law, any action, suit, or proceeding against Enveme for any claims, actions, suits, damages, liability, losses or expenses of whatever kind or however arising out of or relating to your use of the Web Site or the Services. 8. Termination. (a) Termination. Enveme may suspend or terminate your use of the Site or Enveme service if it believes, in its sole and absolute discretion that you have breached a term of these TOS. (b) Survival. These TOS will survive indefinitely unless and until Enveme chooses to terminate them. (c) Effect of Termination. If you or Enveme terminates your use of the Site or the Enveme service, Enveme may delete any Submissions or other materials relating to your use of the Enveme service on Enveme's servers or otherwise in its possession and Enveme will have no liability to you or any third party for doing so. 9. Notice. All notices required or permitted to be given under these TOS will be in writing and delivered to the other party by any of the following methods: (i) U.S. mail, (ii) overnight courier, or (iii) electronic mail. If you give notice to Enveme, you must use the following addresses: Enveme, 200 Central Park South, Suite 3G, New York, NY 10019. If Enveme provides notice to you, Enveme will use the contact information provided by you to Enveme. All notices will be deemed received as follows: (i) if by delivery by U.S. mail, seven (7) business days after dispatch, (ii) if by overnight courier, on the date receipt is confirmed by such courier service, or (iii) if by electronic mail, 24 hours after the message was sent, if no "system error" or other notice of non- delivery is generated. If applicable law requires that a given communication be "in writing," you agree that email communication will satisfy this requirement. 10. Dispute Resolution. All disputes arising out of, relating to or connected with these TOS or your use of any part of the Enveme service will be exclusively resolved under confidential binding arbitration held in Burlington County, New Jersey before and in accordance with the Rules of the American Arbitration Association, by a sole arbitrator applying New Jersey law (without regard for conflicts of law principles). The arbitrator's award will be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these TOS will be joined to an arbitration involving any other party subject to these TOS, whether through class arbitration proceedings or otherwise. Any action to enforce an arbitrator's award will be brought in a federal or state court located in Burlington County, New Jersey, and each party hereby irrevocably submits to the personal jurisdiction of such court. By entering into these TOS, you hereby irrevocably waive any right you may have to join claims with those of others in the form of a class action or similar procedural device. Any claim arising out of, relating to or connected with these TOS or your use of any part of the Enveme service must be asserted individually. 11. Miscellaneous. These TOS will be binding upon each party hereto and its successors and permitted assigns, and governed by and construed in accordance with the laws of the State of New Jersey without reference to conflict of law principles. These TOS will not be assignable or transferable by you without the prior written consent of Enveme. These TOS (including all of the policies and other Agreements described in this TOS, which are hereby incorporated herein by this reference) contain the entire understanding of the parties regarding its subject matter, and supersedes all prior and contemporaneous agreements and understandings between the parties regarding its subject matter. No failure or delay by a party in exercising any right, power or privilege under these TOS will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof or the exercise of any other such right, power, or privilege. You and Enveme are independent contractors, and no agency, partnership, joint venture, or employee-employer relationship is intended or created by these TOS. The invalidity or unenforceability of any provision of these TOS will not affect the validity or enforceability of any other provision of these TOS, all of which will remain in full force and effect. * I agree with the above Terms of Service from Enveme. Digital Rights Agreement Welcome to the Enveme Artist Digital Distribution Agreement ("Agreement"). This Agreement contains the terms and conditions under which Enveme offers the "Digital Download and Distribution Service". Use of the Digital Download and Distribution Service constitutes your agreement to and acceptance of this Agreement. This agreement does not constitute a transfer of ownership of your songs or any rights associated with them. Enveme, along with our licensees and assignees (collectively referred to in this Agreement as "us," "we," and "Enveme") reserves the right to add, delete and/or modify any of the terms and conditions contained in this Agreement, at any time and in its sole discretion, by posting a change notice or a new agreement on the Site. In the event of substantive changes to the terms of this Agreement, you will be notified by email. If any modification is unacceptable to you, your only recourse is to discontinue use of the Digital Download and Distribution Service. Your continued use of the Digital Download and Distribution Service, following posting of a change notice or new agreement on the Site (as more fully described below in Section 8), will constitute your binding acceptance of the changes. The following, when accepted by you (whether as an individual, or as the authorized representative for an artist, band, group, or corporation) and us shall be a binding contract. Please read this Agreement carefully. By entering your name and clicking on the "I AGREE" button below, you will become a party to, and will be bound by this Agreement, which may be modified as further described in Section 8 below. The "Effective Date" of this Agreement is the date on which you click the "I AGREE" button below. 1. Certain Definitions: The following capitalized terms shall have the following meanings for purposes of this Agreement: (a) "Authorized Artwork" means album cover artwork and any other artwork relating to Your Authorized Content that you provide to us. All such artwork will be deemed to have been properly cleared and/or licensed by you for all purposes, unless you provide us with written notice to the contrary. (b) "Authorized TerritoryÓ means the Universe, or more limited territories, if you so choose, in the registration process. (c) "Copyright Management Information" means the digital information conveying information regarding a Digital Master, such as your name, the title of the applicable album, the name of the song and the record company name, and same shall be subject to the protection of Title 17, Section 1202 of the United States Copyright Law. (d) "Digital Master" or "Digital Masters" means a copy or copies of Your Authorized Content in digital form. (e) "Licensee" means any third party licensee. For example: if Enveme creates a partnership with another web site for distributing your songs, that other website would constitute a third party licensee. (f) "Your Authorized Content" means sound recordings and underlying musical compositions that you have designated for digital distribution by us. Any such sound recordings and the underlying musical compositions must be owned or controlled by you and/or have been cleared by you for all purposes and rights granted and authorized hereunder by you. 2. Authorization: You hereby appoint us as an authorized representative for the sale and other distribution of Your Authorized Content as described below. Selling and or posting your Authorized content on enveme.com are non-exclusive, and thus you are free to post your songs anywhere else on the Internet. By agreeing to the following terms you also grant us the non-exclusive right to "Stream" Your Authorized Content, either on-demand or as part of an internet radio service; However by granting us authorization to post Your Authorized Content, you grant us the exclusive right during the term of this Agreement and throughout the territory to: (a) Use for promotional purposes and without remuneration to the artist, portions of Your Authorized Content ("Clips") by "streaming" to promote the sale and distribution of Digital Masters; (b) Use "On-site" computers to demonstrate, distribute, market and promote your songs, including, without limitation, by allowing the burning of compact disc copies of any Digital Master or by allowing a copy of a Digital Master to be transferred to personal devices; (c) Use and authorize others to allow copies of a Digital Master to be distributed as so-called "conditional" downloads, whether tethered to a device, time limited, play limited or otherwise; (d) Use and distribute Copyright Management Information as embodied in a Digital Master (see below for a definition of Copyright Management as defined by the Library of Congress) (e) Display and electronically fulfill and deliver Authorized Artwork used in connection with Your Authorized Content for personal use, solely in conjunction with the applicable Digital Master; (f) Use Your Authorized Content, Authorized Artwork, and metadata as may be reasonably necessary or desirable for us to exercise our rights under this Agreement; 3. Term: The Term of this Agreement will commence on the Effective Date and will continue, unless and until terminated by either you or us, upon thirty (30) days written notice. 4. Payments to You: (a) Retail sales rates: The current price for all songs sold on Enveme.com is One Dollar ($1) per song. For content sold directly through enveme.com we will pay you an amount equal to twenty five percent (25%) of the retail price that we receive from the customer for the sale or other licensed uses of Your Authorized Content. Due to credit card processing costs, the minimum fee withheld on any single transaction is currently 30-cents. (b). Payments: We will make payments to you on a monthly basis. Such payment will constitute full and adequate consideration for all rights granted, and all obligations undertaken, by you in this Agreement. For the avoidance of doubt, you have the right to affiliate with a performance rights society and Sound Exchange or other entity to collect monies that may be payable to you for the public performance of Your Authorized Content. (c) We will maintain books and records which report the sale or other licensed uses of your Digital Masters. You may, but not more than once a year, at your own expense, examine those books and records, as provided in this Section 3(a), only. You may make those examinations only for the purpose of verifying the accuracy of the statements sent to you. All such examinations will be in accordance with GAAP procedures and regulations. You may make such an examination for a particular statement only once, and only within one (1) year after the date we send you that statement. You may make such an examination only during our usual business hours, and at the place where we keep the books and records to be examined. If you wish to make an examination, you will be required to notify us at least thirty (30) days before the date when you plan to begin it. We may postpone the commencement of your examination by notice given to you not later than five (5) days before the commencement date specified in your notice; if we do so, the running of the time within which the examination may be made will be suspended during the postponement. If your examination has not been completed within one (1) month from the time you begin it, we may require you to terminate it on seven (7) days' notice to you at any time; we will not be required to permit you to continue the examination after the end of that seven (7) day period. You will not be entitled to examine any other records that do not specifically report sales or other licensed uses of the Digital Masters. You may engage a certified public accountant to make such an examination for you, but not if (s) he or his/her firm has begun an examination of our books and records for anyone else, unless the examination has been concluded and any applicable audit issues have been resolved. Such certified public accountant will act only under an acceptable confidentiality agreement, which provides that any information derived from such audit or examination will not be knowingly released, divulged or published to any person, firm or corporation, other than to you or to a judicial or administrative body in connection with any proceeding relating to this Agreement. (d) If you have any objections to a statement, you will give us specific notice of that objection and your reasons for it within one (1) year after the date when we are required to send you that statement. Each statement will become conclusively binding on you at the end of that one (1) year period, and you will no longer have any right to make any other objections to it. You will not have the right to sue us in connection with any statement, or to sue us for License Fees on sales and licenses during the period a statement covers, unless you commence the suit within that one (1) year period. If you commence suit on any controversy or claim concerning statements rendered to you under this Agreement in a court of competent jurisdiction, the scope of the proceeding will be limited to determination of the amount of the License Fees due for the accounting periods concerned, and the court will have no authority to consider any other issues or award any relief except recovery of any License Fees found owing. Your recovery of any such royalties will be the sole remedy available to you by reason of any claim related to our statements. 5. Your Obligations: You or a licensee, e.g. a company such as Rightsflow, (on your behalf) will obtain and pay for any and all clearances or licenses required in the Territory (or any portion thereof) for the use of Your Authorized Content, and Authorized Artwork and metadata as intended by this Agreement. By way of example, you will be responsible for the payment of mechanical royalties in territories where such royalties are not collected by a rights society. Specifically, and without limiting the generality of the foregoing, you or a licensee on your behalf will be responsible for and shall pay (i) any royalties and other sums due to artists, authors, co-authors, copyright owners and co-owners, producers and any other record royalty participants from sales or other uses of Digital Masters, (ii) all mechanical royalties or other sums payable to publishers and/or authors or co-authors of musical compositions embodied in Digital Masters from sales or other uses of Digital Masters (iii) all payments that may be required under any collective bargaining agreements applicable to you or any third party, and (iv) any other royalties, fees and/or sums payable with respect to Your Authorized Content, and Authorized Artwork, metadata or other materials provided by you to us. You agree that the amount payable to you is inclusive of any so-called "artist royalties" that might otherwise be required to be paid for sales or exploitations pursuant to the applicable laws of any jurisdiction. 6. Promotional Agreement. You agree to post on any and all publicly accessed sites that you use to promote your music a "button" provided by Enveme and containing the Enveme logo to promote the sale of your songs and direct traffic to Enveme.com. 7. Right to Withdraw Material: You have the right, at any time during the Term, to withdraw your permission for the sale or other uses of Your Authorized Content and Authorized Artwork, upon written notice to us ("Withdrawal"). Within 5 business days following our receipt of your notice of Withdrawal, we will advise our Licensees that they are no longer authorized to offer the sale or other use of Your Authorized Content or Authorized Artwork. Sending of your notice of Withdrawal will not limit your responsibility for sales and other uses of Your Authorized Content and/or Authorized Artwork that occurred prior to the implementation of such Withdrawal and will not limit in any way the rights of end users who have acquired Your Authorized Content or Authorized Artwork. Enveme is not responsible for any delays of our Licensees in removing Your Authorized Content and Authorized Artwork. 8. Names and Likenesses; Promotional Use and Opportunities: (a) You hereby grant to us, during the Term, the right to use and to authorize our Licensees to use the names and approved likenesses of, and biographical material concerning any artists, bands, producers and/or songwriters, as well as track and/or album name, and Authorized Artwork, in any marketing materials for the sale, promotion and advertising of the applicable Digital Master, which is offered for sale or other use under the terms of this Agreement (e.g., an artist or band name and likeness may be used in an informational fashion, such as by textual displays or other informational passages, to identify and represent authorship, production credits, and performances of the applicable artist or band in connection with the exploitation of applicable Digital Masters). (b) You hereby grant to us and our Licensees the right to market, promote and advertise the Digital Masters as available for purchase or license, as we and they determine in our and their discretion. 9. Ownership: Subject to our rights hereunder or under any prior agreement between you and us, as between you and us, all right, title and interest in and to (i) Your Authorized Content and Authorized Artwork, (ii) the Digital Masters, (iii) the Clips, (iv) all copyrights and equivalent rights embodied therein, and (v) all materials furnished by you, will be yours. 10. Modification, Termination and Effect of Termination: (a) We reserve the right to change, modify, add to, or remove all or part of this Agreement, in our sole discretion. Notice of any such change will be sent to you by email at least seven (7) days prior to its effective date. In the event that you do not consent to any such proposed changes, your sole recourse shall be to terminate the Term of this Agreement, by notice to us as provided above, and your failure to do so within ten (10) days of the date of any such email from us to you shall constitute your acceptance of such changes. (b) The expiration or termination of the Term will not relieve either you or us from our respective obligations incurred prior to or during the Term. Accordingly, applicable provisions of this Agreement will continue to apply even after the expiration of the Term. 11. Indemnification: You hereby indemnify, save, and hold us harmless from any and all damages, liabilities, costs, losses and expenses (including, but not limited to, legal costs and attorneys' fees) arising out of or connected with any claim, demand, or action which is inconsistent with any of the warranties, representations, covenants or agreements made by you in this Agreement, including, but not limited to, your representations and warranties regarding copyrights or any other rights in and to any other forms of intellectual property. You will reimburse us, on demand, for any payment made by us at any time with respect to any damage, liability, cost, loss or expense to which the foregoing indemnity applies. Pending the determination of any claim, demand, or action, we may, at our election, withhold payment of any monies otherwise payable to you hereunder in an amount which does not exceed your potential liability to us pursuant to this paragraph. 12. Additional Representations and Warranties of the Parties: (a) You represent and warrant that you have the full authority to act on behalf of any and all owners of any right, title or interest in and to Your Authorized Content or Authorized Artwork, or metadata. (b) You represent and warrant that you own or control the necessary rights in order to make the grant of rights, licenses and permissions herein, and that the exercise of such rights, licenses and permissions by us and our Licensees shall not violate or infringe the rights of any third party. (c) You and we represent and warrant that we will not act in any manner which conflicts or interferes with any existing commitment or obligation of the other party, and that no agreement previously entered into by you or us will interfere with our performance of our obligations under this Agreement. (d) Each party represents and warrants that it shall perform its obligations hereunder in full compliance with any applicable laws, rules and regulations of any governmental authority having jurisdiction over such performance. (e) We make no guarantees whatsoever about there being any minimum sales or uses of any Digital Master. 11. General Provisions: (a) The parties hereto agree and acknowledge that the relationship between them is that of independent contractors. This Agreement shall not be deemed to create a partnership or joint venture, and neither party is the other's agent, partner, or employee. (b) This Agreement contains the entire understanding of the parties relating to the subject matter hereof. This Agreement supersedes all previous agreements or arrangements between us pertaining to the digital distribution of content, provided that if you previously entered into a digital distribution agreement with us in the past, and elected any options, those options will remain in place under this Agreement. This Agreement cannot be changed or modified except as provided herein. A waiver by either party of any term or condition of this Agreement will not be deemed or construed as a waiver of such term or condition, or of any subsequent breach thereof. If any provision of this Agreement is determined by a court of competent jurisdiction to be unenforceable, such determination shall not affect any other provision hereof, and the unenforceable provision shall be replaced by an enforceable provision that most closely meets the commercial intent of the parties. (c) This Agreement will be binding on the assigns, heirs, executors, affiliates, agents, personal representatives, administrators, and successors (whether through merger, operation of law, or otherwise) of each of the parties. (d) Any notice, approval, request, authorization, direction or other communication under this Agreement shall be given in writing and shall be deemed to have been delivered and given for all purposes on the delivery date if sent by electronic mail to the addresses provided to and by you upon registration with the Enveme Site, or as properly updated. (e) This Agreement will be governed and interpreted in accordance with the laws of the State of New Jersey applicable to agreements entered into and to be wholly performed in New Jersey, without regard to conflict of laws principles. (f) To the extent permitted by applicable law, the rights and remedies of the parties provided under this Agreement are cumulative and are in addition to any other rights and remedies of the parties at law or equity. (g) The titles used in this Agreement are for convenience only and are not to be considered in construing or interpreting this Agreement. (h) This Agreement is for the sole benefit of the parties hereto and their authorized successors and permitted assigns. Nothing herein, express or implied, is intended to or shall confer upon any person or entity, other than the parties hereto and their authorized successors and permitted assigns, any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of this Agreement. * I agree to Enveme's Digital Rights Agreement Artists must agree to both the Terms of Service and Digital Rights Agreement to be able to submit and/or post and sell their songs on Enveme.com.
